VANCOUVER, CANADA – December 21st, 2018: Sitka Gold Corp. (CSE: SIG) (the “Company” or “Sitka”) intends to complete a non-brokered private placement of flow- through units (the “Private Placement”).
The Company intends to issue up to 2,000,000 flow-through units at a price of $0.125 per unit (the “FT Units”) for aggregate proceeds of up to $250,000. Each FT Unit will consist of one flow- through common share (the “FT Shares”) and one-half of one non flow-through common share purchase warrant (the “Warrants”). Each whole Warrant will entitle the holder to purchase one additional common share of the Company at an exercise price of $0.17 per common share for a period of 24 months from the date of closing of the Private Placement.
The proceeds raised from the FT Units will be spent on exploration that will qualify as Canadian exploration expenses (CEE) and flow-through mining expenditures for purposes of the Income Tax Act (Canada).
In connection with the Private Placement, the Company may pay a finders’ fee in accordance with the rules and policies of the Canadian Securities Exchange. The Private Placement remains subject to regulatory approval.
